1. Introduction

These Terms of Service (“Terms”) govern your use of all services provided by HB Inc dba Reelsta (“Reelsta,” “we,” “us,” “our”) through the website reelsta.com and any related applications, platforms, or services. By creating an account, making a purchase, or otherwise using Reelsta, you agree to be bound by these Terms. If you do not agree, do not use our services.

By using Reelsta features that interact with YouTube, you also agree to be bound by the YouTube Terms of Service.

2. Service Description

Reelsta is an AI-powered platform that enables users to generate faceless short-form videos. We offer subscription plans with varying features and pricing. We reserve the right to modify, update, or discontinue any aspect of the service at any time.

3. Account Registration & Use

You must be at least 18 years old (or have verifiable parental consent) to use Reelsta. When creating an account, you agree to provide accurate and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at hi@reelsta.com if you suspect unauthorized access.

We reserve the right to suspend or terminate your account at any time if you violate these Terms or engage in conduct that we determine, in our sole discretion, is harmful to Reelsta, other users, or third parties.

4. Ordering & Payment

Services are described on our website with pricing shown in applicable order forms. Payment may be made via credit or debit card, Apple Pay, Google Pay, or other methods we make available through Stripe. Subscriptions are billed monthly or annually. Payments are processed by Stripe, Inc. By making a purchase, you also agree to Stripe’s Terms of Service.

If payment is not received by the due date, we reserve the right to limit or discontinue your access to services until full payment is received. All prices are subject to change; however, active subscriptions will honor the price in effect at the time of your most recent billing cycle.

5. Refund Policy

Due to the nature of digital content that is delivered and accessible immediately upon payment, all sales are final. By completing a purchase, you explicitly acknowledge that digital content performance begins immediately and waive any right of withdrawal for that purchase.

We may, at our sole discretion, offer compensation in the form of service credits or extended subscription periods on a case-by-case basis, but we are not obligated to provide monetary refunds.

6. Intellectual Property

Reelsta and HB Inc own all intellectual property rights in and to the Reelsta platform, software, branding, and proprietary content. You may not copy, modify, distribute, sell, or lease any part of our software or services without our prior written permission.

Your content: You own all right, title, and interest in the content you create using Reelsta. You grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, and process your content solely to operate and improve the service.

Marketing license: You also grant us a perpetual, worldwide, non-exclusive, royalty-free, transferable license to use content you create with Reelsta for marketing, promotional, and demonstration purposes - including displaying it on our website, in case studies, promotional videos, and at events. You may request removal of your content from our marketing materials at any time by emailing hi@reelsta.com, and we will remove it within 30 days.

Profile images: We may display your publicly available or provided profile image in anonymized, aggregated testimonial or social proof elements on our website. You may opt out at any time, and we will remove your image within 30 days.

We do not claim ownership of your social media accounts.

7. User Obligations & Prohibited Uses

You agree to comply with all applicable laws when using Reelsta. You may not:

• Create illegal, harmful, defamatory, obscene, or otherwise objectionable content
• Infringe on the intellectual property rights of any third party
• Attempt unauthorized access to any part of the service or its systems
• Use automated systems, bots, or scrapers without our written permission
• Upload malicious code, viruses, or any harmful software
• Disrupt, interfere with, or attempt to degrade the service

You are responsible for ensuring that your content complies with the terms of service of any social media platform to which you publish. You warrant that you have all necessary rights, licenses, and permissions to use any content you provide, including music and audio. You agree to indemnify and hold harmless Reelsta from any claims, damages, or expenses arising from your use of third-party content.

Reelsta does not decrypt, remove, or bypass any digital rights management or other technical protection measures.

8. DMCA & Copyright Notices

If you believe that material processed through Reelsta infringes your copyright or other rights, please send a detailed notice to dmca@reelsta.com. We will respond within 48 hours of receiving a valid notice. Accounts may be terminated after three substantiated notices in any rolling 90-day period.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Reelsta and HB Inc shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to loss of profits, goodwill, use, data, or other intangible losses, resulting from your use of or inability to use the service.

We do not guarantee that the service will be uninterrupted, timely, secure, or error-free, or that results obtained from the service will be accurate or reliable. AI-generated content may contain inaccuracies or errors, and we do not guarantee the quality, accuracy, or appropriateness of any generated content.

We do not control third-party social media platforms and are not responsible for any actions, policies, or outages of such platforms.

Our total liability for any claims under these Terms shall be limited to the amount you have paid to Reelsta in the 12 months preceding the claim, or $100 USD, whichever is lower.

10. Data Storage & Fair Use

User-generated content (videos, images, audio) is stored for 3 months from creation. We may delete this data after that period. You are responsible for downloading and backing up any content you wish to retain. We reserve the right to monitor usage patterns and suspend accounts that show signs of automated or excessive use beyond reasonable limits.

11. Privacy

Our Privacy Policy is an integral part of these Terms. By using Reelsta, you consent to our collection and use of data as described in the Privacy Policy.

12. Changes to These Terms

We may modify these Terms at any time. Material changes will be communicated via the website or email notification. Your continued use of Reelsta after such modifications constitutes your acceptance of the updated Terms. If you do not agree to any changes, you must stop using the service and cancel your account.

13. Termination

You may terminate your account at any time through your account settings or by contacting us at hi@reelsta.com. We reserve the right to suspend or terminate your access to Reelsta at any time, with or without cause and with or without notice. Upon termination, your right to use the service ceases immediately. Sections relating to intellectual property, limitation of liability, and indemnification survive termination.

14. Governing Law & Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising from or relating to these Terms or the service shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts.

15. General Provisions

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. These Terms, together with the Privacy Policy and any order forms, constitute the entire agreement between you and Reelsta regarding the service.
